The Platform compiles and presents data on over 230 jurisdictions across approximately 100 data points per jurisdiction. This data is sourced from a combination of government registries, regulatory publications, international organization reports (including but not limited to the OECD, FATF, World Bank, and IMF), academic research, industry publications, and third-party contributions. We believe this represents one of the most comprehensive attempts to organize international business formation data in a single, accessible platform.

However, you acknowledge and agree that:

(a) Jurisdiction data is inherently complex, multi-layered, and subject to interpretation. Tax rates, for example, may vary based on entity type, income source, treaty application, substance requirements, and administrative practice — a single published rate rarely tells the complete story.

(b) Laws, regulations, and administrative practices change frequently. There may be a material delay — ranging from days to months — between when a change takes effect in a jurisdiction and when it is reflected on the Platform. We do not guarantee real-time accuracy.

(c) Certain data points involve subjective assessment. Trust scores, banking ease ratings, privacy indices, and similar metrics represent our analytical methodology applied to available data. They are not objective facts, and reasonable analysts applying different methodologies may reach different conclusions.

(d) Formation cost estimates represent typical ranges based on available data and may not include all applicable government fees, professional fees, compliance costs, ongoing maintenance obligations, or costs that arise from specific business activities or structures.

(e) Data may contain errors, omissions, or inconsistencies despite our quality control efforts. The scope of coverage (230+ jurisdictions, 100+ data points, 460+ service providers) makes it statistically inevitable that some data points will be inaccurate or outdated at any given time.

(f) The Platform may not cover all relevant aspects of a jurisdiction's legal, tax, or regulatory framework. Omission of information should not be interpreted as an indication that such information does not exist or is not relevant to your situation.

We welcome corrections and updates submitted through our reporting system. All submissions are reviewed but implementation is at our sole discretion.

The AI Advisor is a machine learning-based tool that generates jurisdiction recommendations by analyzing user-provided inputs against Platform data. It is designed to narrow the field of potential jurisdictions for further professional evaluation — it is expressly not designed to provide, and does not provide, definitive guidance.

You acknowledge and agree that:

(a) AI-generated recommendations are probabilistic outputs. They are based on patterns in available data and may contain errors, biases, or gaps inherent in the underlying data, training methodology, or model architecture.

(b) The AI Advisor operates on the information you provide and the data available in our system at the time of analysis. It does not have access to your complete personal, financial, legal, or tax circumstances. It cannot account for factors you do not disclose or that are not captured in our data.

(c) The AI Advisor does not consider: bilateral or multilateral tax treaties specific to your nationality or residence; pending legislation or regulatory proposals; enforcement practices or audit risk profiles; judicial interpretations or administrative rulings; your existing corporate structures or obligations; anti-avoidance rules (such as CFC rules, GAAR provisions, or substance requirements) that may apply in your home jurisdiction; or personal circumstances that may affect tax residency determinations.

(d) AI recommendations may become outdated as laws change, and the recommendation engine is not updated in real-time with every legislative or regulatory development worldwide.

(e) The AI Advisor may generate different recommendations for seemingly similar inputs due to the probabilistic nature of machine learning models. This is expected behavior, not a defect.

(f) You bear sole and complete responsibility for any decisions made in reliance on AI-generated recommendations. incorporator accepts no liability for outcomes resulting from such reliance.

The Platform lists third-party corporate service providers (CSPs) for informational and comparison purposes. You acknowledge and agree that:

(a) The inclusion of any CSP on the Platform does not constitute an endorsement, recommendation, guarantee, or warranty of that CSP's services, qualifications, regulatory compliance, financial stability, professional competence, or fitness for any particular purpose.

(b) Any engagement with a CSP is a separate contractual relationship solely between you and that CSP. incorporator is not a party to, and bears no responsibility for, any such engagement, including but not limited to the quality of services rendered, the accuracy of information provided by the CSP, the CSP's compliance with applicable laws, or any disputes arising from the engagement.

(c) Service packages, pricing, and descriptions displayed on CSP profiles are provided by the CSPs themselves or compiled from publicly available sources. Actual costs may vary significantly based on your specific requirements, the complexity of your structure, jurisdiction-specific regulations, and the CSP's current pricing. The Platform has documented price variations of 4x to 40x across CSPs for comparable services — this underscores the importance of obtaining direct quotes.

(d) User reviews and ratings reflect individual experiences and opinions. They are not independently verified by incorporator (unless explicitly indicated), may not be representative of overall service quality, and should be considered alongside other factors in your evaluation.

(e) The Platform may receive referral fees, commissions, or other compensation from CSPs. While we disclose affiliate relationships where required by law, the existence of such compensation may create a potential conflict of interest. Referral compensation may influence listing placement or visibility but does not affect user-generated ratings or the underlying jurisdiction data.

(f) incorporator does not verify the professional licenses, insurance coverage, regulatory standing, beneficial ownership, or anti-money laundering compliance of listed CSPs unless explicitly indicated through our verification program. The absence of negative information about a CSP on the Platform should not be interpreted as a positive endorsement.

incorporator does not provide investment advice and is not registered as an investment advisor, broker-dealer, or financial institution in any jurisdiction. Information about jurisdiction tax rates, incentive programs, economic conditions, or financial infrastructure should not be interpreted as investment recommendations or as an inducement to invest in or through any particular jurisdiction.

Cost estimates, savings projections, and financial comparisons presented on the Platform are approximations based on available data and standard assumptions. Actual costs and outcomes may differ materially due to factors including but not limited to: changes in law or regulation; currency fluctuations; variations in professional fees; compliance costs not captured in formation cost estimates; ongoing maintenance and reporting obligations; and the specific nature and scale of your business activities.

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, INCORPORATOR, ITS OPERATORS, DIRECTORS, OFFICERS, EMPLOYEES, AGENTS, CONTRACTORS, DATA PROVIDERS, AND AFFILIATES (COLLECTIVELY, THE "INCORPORATOR PARTIES") SHALL NOT BE LIABLE FOR ANY DIRECT, INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES ARISING OUT OF OR IN CONNECTION WITH:

(A) YOUR USE OF OR INABILITY TO USE THE PLATFORM; (B) ANY DECISIONS MADE OR ACTIONS TAKEN IN RELIANCE ON INFORMATION OBTAINED THROUGH THE PLATFORM, INCLUDING AI ADVISOR RECOMMENDATIONS; (C) ANY ENGAGEMENT WITH THIRD-PARTY CSPS LISTED ON THE PLATFORM; (D) ANY ERRORS, OMISSIONS, OR INACCURACIES IN JURISDICTION DATA, RATINGS, SCORES, OR OTHER PLATFORM CONTENT; (E) ANY TAX LIABILITY, PENALTY, INTEREST, OR OTHER FINANCIAL CONSEQUENCE ARISING FROM ACTIONS TAKEN BASED ON PLATFORM INFORMATION; (F) ANY REGULATORY ACTION, INVESTIGATION, OR ENFORCEMENT PROCEEDING RELATED TO STRUCTURES OR ARRANGEMENTS INFORMED BY PLATFORM DATA; (G) ANY LOSS OF BUSINESS, REVENUE, PROFITS, GOODWILL, DATA, OR BUSINESS OPPORTUNITIES; (H) ANY UNAUTHORIZED ACCESS TO OR ALTERATION OF YOUR DATA OR ACCOUNT; OR (I) ANY OTHER MATTER RELATING TO THE PLATFORM.

THIS LIMITATION APPLIES REGARDLESS OF THE LEGAL THEORY UNDER WHICH DAMAGES ARE SOUGHT AND REGARDLESS OF WHETHER THE INCORPORATOR PARTIES HAVE BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

THE AGGREGATE LIABILITY OF THE INCORPORATOR PARTIES SHALL NOT EXCEED THE GREATER OF: (I) THE TOTAL AMOUNT PAID BY YOU IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM; OR (II) ONE HUNDRED US DOLLARS (USD $100).

Nothing in this disclaimer excludes or limits liability for death or personal injury caused by negligence, fraud or fraudulent misrepresentation, or any other liability that cannot be excluded or limited under applicable law.
